$KTOS Announced Awards "More Than $100 Million," but No Matching Filing Shows Up

A number only counts toward expectations once it can be matched to official filings. Otherwise, it is just news.

▼ KTOS −0.3%

01What Happened

On October 5, $KTOS announced a batch of space and cybersecurity awards. The headline said "more than $100 million." The company made the announcement through a press release. As of October 16, none of the latest ten records on the SEC's EDGAR system was an 8-K.

02Key Numbers

These ten records run from August 26 to October 16. All of them are Form 3, Form 4, or Form 144 filings, plus one POSASR and one 424B3. Most of the first three are reports on insider holdings and trades. The last two relate to securities offerings. None of them describe contracts.

03In short

An 8-K is a notice that a public company files with regulators when something important happens. It usually spells out the contract number, when the money takes effect, and how far the work has progressed. Without one, investors only have the number in the headline, and they cannot check it. This does not mean the contract is fake. The press release may be accurate. The filings just do not show anything that can be checked.

04Why It Matters

Before you count an order in your expectations, check whether you can find it in filings. Orders you can find can count toward expectations. Orders you cannot find are just news. Once the company puts the amount, the time period, and the milestones in its filings, it is still not too late to count the number.

05Investor Angle

For now, the "more than $100 million" news for $KTOS is backed only by the press release. Until it shows up in a filing, treat it as a lead to verify, not as confirmed revenue.
